Job Responsibilities: The Corporate Counsel position will lead the company in setting its strategic and tactical legal initiatives. The Counsel’s role at MyFamily.com allows for an enormous degree of creativity in new areas of business. This includes working closely with business units and development teams on legal issues relating to MyFamily.com’s online subscription services, software development, product launches, and general Internet and e-commerce related issues. The Corporate Counsel will also be responsible for the following: · Respond promptly to legal requests from business development/licensing, advertising sales, marketing, and other business clients. · Advise marketing professionals and management, as well as finance and other company departments on legal issues and risks, complex deal structures, approval processes, company policies and procedures, intellectual property, and negotiation strategy. · Negotiate agreements that comply with company policies and risk tolerance. o Negotiate and draft contracts with commerce partners, including major online and brick-and-mortar retailers, other advertisers, and advertising agencies to promote products and services through MyFamily’s online services. o Negotiate and draft contracts with back-end technology providers, including rich media vendors, third party ad servers, and online research providers. o Advise on other general transactional matters, such as term sheets and proposals, NDAs, and consulting agreements. o Review, draft and negotiate marketing agreements, sales contracts, licenses/intellectual property agreements and other agreements. · Advise senior management on recommend courses of action and legal risks. · Advise on legal aspects of the company’s financing, including general corporate financing and the financing of company properties, including assessing and advising on current and future business structures and legal entities. · Judge the merits of major court cases filed against or on behalf of the company, work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted. · Develop, implement and promote ethical conduct and legal compliance programs, including internet-based training. Summarize and communicate legal concepts for use by business people. · Support the continuous improvement of standard form agreements and legal processes. · Assist in development of and compliance with privacy principles and practices. Other areas of significant responsibility: Mergers and Acquisitions. Support M&A activity, including participating with senior management and other corporate and operations personnel in evaluating acquisition opportunities, structuring transactions, managing due diligence activity, drafting and negotiating definitive agreements and assisting with post-transaction integration issues. Securities and Corporate Governance. As the company expands its horizons, the counsel’s office will play a critical role in preparing the company for SEC compliance (including by reviewing press releases, public disclosures and '34 Act filings, when applicable) and corporate governance issues (including new SEC and Nasdaq requirements under the Sarbanes-Oxley Act). Patent Programs. Managing MyFamily's patent application portfolio and patent prosecution program, including: drafting patent disclosures and applications; engaging with technology teams; and managing outside patent prosecution counsel. Regulatory Initiatives. Counsel will play a key role in the development, coordination and implementation of strategies on regulatory policy issues involving state legislative and regulatory matters affecting MyFamily.com's regulated businesses (both currently and prospectively). Counsel will assist in the coordination and articulation of policy and counsel will advise on legislative and regulatory policy affecting all business operations. Required Skills: Education and Experience: Requirements for this role include a strong intellectual property background and at least 5 years experience at a top law firm and/or in-house environment. Preferred candidates will have worked in both environments. We require significant experience in technology, software and/or media/content licensing. Preferred candidates will have specific experience with legal issues relating to the Internet and e-commerce. Requirements: · JD from top law school, excellent academic credentials. · In-depth experience in contract law, with broad transactional background in technology related agreements. · Experience advising clients on and structuring complex commercial transactions, including sales and services contracts. · Excellent business judgment and strategic thinking capability · Hard working, well organized and able to manage numerous projects simultaneously under deadline pressure. Excellent interpersonal skills, dynamic and highly team-oriented. · Flexibility and willingness to work on a broad variety of legal matters. · Superior English language writing and oral communication skills. · Sense of humor and commitment to professionalism and collegiality are required. · Candidates must have top law school academics and admission to at least one state bar. Other Information This position would report to the Chief Financial Officer and would work daily with all members of Senior Management, including the Chief Executive Officer. The position would be part of a growing Legal Department, currently comprised of one other attorney and two support staff.
