I need to install a adc to connect exchange 5.5 with windows 2003. there are
no exchange 2003 server. how do i do this step by step. my acct has
enterprise admin, schema, domain admin, but I get an error stating I don't
have the right to upgrade the schema

Have you checked the installation instructions? They mention the groups,
settings, and which hosts need the remote registry service running.
When you install the ADC, it's first attempting to update your AD schema.
That means it must have the right, the host it's running on, must be allowed
to update the schema, and you have to have access to the remote registry of
the schema master.
